China 3D Digital Forms Strategic Alliance with AID Partners and Acquires 81.63% of HMV at a Consideration of HK$408 Million

Transaction Details

China 3D Digital Entertainment Limited (China 3D Digital”, Stock Code: 8078.HK) and AID Partners Capital Holdings Limited (“AID Partners”, Stock Code: 8088.HK) jointly announced that the two companies have entered into a Sale and Purchase Agreement, pursuant to which China 3D Digital agreed to acquire the sale shares which represent approximately 81.63% of the issued capital of HMV M&E Limited, a subsidiary of AID Partners, at an aggregate consideration of HK$408 million to be satisfied by the issue of an aggregate of 1,118,219,178 consideration shares at completion, representing approximately 22.59% of the enlarged issued share capital of China 3D Digital.

Upon completion, AID Partners will become the single largest shareholder of China 3D Digital and recognize an estimated gain of approximately HK$224 million before tax and transaction costs. Subsequently, Mr. Kelvin Wu, Executive Director and Chief Executive Officer of AID Partners, and Mr. Gilbert Ho, Executive Director and Chief Investment Officer of AID Partners, shall be appointed as Non-Executive Director of China 3D Digital and Executive Director of China 3D Digital, respectively. Besides, China 3D Digital intends to appoint Ms. Li Mau, Chairwoman of HMV Asia Limited and the spouse of Mr. Wu, as the Executive Director and Co-Chairman of China 3D Digital.

BETADINE(R) Leads the Fight Against Hand Foot and Mouth Disease (HFMD) Infection2016

SINGAPORE /PRNewswire/ — New research has highlighted the effectiveness of BETADINE® products in the fight against Hand Foot and Mouth Disease (HFMD), a viral infection that affects thousands of young children each year.

There is a high incidence of HFMD in Asia. The World Health Organisation (WHO) recorded approximately 2.5 million cases in China, Japan, Singapore, Vietnam and Hong Kong in 2015, with 2 million cases registered in China alone. According to WHO Guidelines, there are no specific antiviral drugs to treat HFMD.

The research, announced at CIP 2016 held in Xian, China, demonstrates that BETADINE® products are more effective than other commercially available handwashes and antiseptics in killing the EV71 and CA16 viruses, the leading strains of HFMD.

In particular, BETADINE® Sore Throat Spray, Skin Cleanser, Gargle and Mouthwash demonstrated anti-virus effectiveness against the EV71 and CA16 viruses. The EV71 virus is known to cause neurological complications.

HFMD spreads from person-to-person through direct contact with nose and throat discharge, saliva, fluid from blisters or the stool of infected persons. While adults can be affected, children under five years of age are particularly susceptible and hence even the act of putting foreign objects like toys in the mouth at school and at home can lead to transmission from one child to the other. Although the risk of transmission of HFMD viruses is higher in crowded areas, the risk of infection can be lowered by good hygiene practices and prompt medical attention. It is also encouraged to avoid close contact such as kissing, hugging and sharing utensils.

Apart from BETADINE® Mouthwash and Gargle and Throat Spray’s germicidal protective hygiene role, they are also very effective in the treatment of sore throats, which are a common occurrence in HFMD sufferers. Patients with HFMD can also experience fever, poor appetite and malaise within the first 2 days of the appearance of HFMD symptoms.
