Intralinks Survey Shows Deal Valuation Is Biggest Challenge in APAC M&A

leave a comment »

Results combine with Intralinks Deal Flow Indicator to provide unique insight into global M&A

SYDNEY, July 17, 2014 /PRNewswire/ — A new survey from Intralinks® Holdings, Inc. (NYSE: IL) has confirmed that APAC M&A professionals feel asset valuation will be the greatest pain point on successfully completing deals over the coming 12 months.

The results were published as part of the Intralinks Global Sentiment Survey, a poll of more than 1,000 M&A professionals worldwide conducted in June 2014 that gauges dealmakers sentiments and views on the current state of the M&A market. Respondents said they believe deal valuation represents a greater challenge to the deal process than other factors such as shareholder activism against underperforming companies, or political interference.

“If we look at the varying valuations impacting current deals in APAC, the challenge around deal valuation for dealmakers is evident. A few prime examples include Singaporean agribusiness firm Wilmar’s current bid to takeover Australian food processor Goodman Fielder, and the recent takeover bids for premium Australian department store David Jones,” said Matt Porzio, vice president of M&A strategy and product marketing at Intralinks.

The survey also revealed that on a global level, 67 per cent of dealmakers indicated they are optimistic about the current deal environment in comparison to the previous six months, while for APAC in particular a slightly lower 65 per cent of dealmakers claimed they are positive about the current deal landscape. Interestingly, the Intralinks Global Sentiment Survey also uncovered that 80 per cent of dealmakers in APAC predict that deal volume will increase over the next six months (compared with 77 per cent globally), and 68 per cent said they do not expect a change in political interference in M&A activity over the next 12 months.

“The global M&A market is continuing to exhibit higher levels of activity than in 2013, maintaining optimism among dealmakers,” added Mr. Porzio.
Furthermore, Global Sentiment Survey results for APAC show:

* 63 per cent of dealmakers expect to participate in more M&A deals than six months ago;

* 56 per cent expect shareholder activism will continue to increase;

* Industry with the most M&A activity according to dealmakers is energy and power.

In addition, Intralinks today released the latest Intralinks Deal Flow Indicator TM (DFI), a unique predictor of future mergers and acquisitions (M&A) activity. Combined with the Global Sentiment Survey, the research provides unparalleled insight into global M&A deal volumes and market trends through Q4 2014.

The Intralinks DFI forecasts changes in the volume of global M&A deals that are expected to be announced in the next six months. The latest data, compiled through the end of June 2014, shows 16 per cent quarter-on-quarter (QoQ) and 12 per cent year-on-year (YoY) increases in early-stage global M&A activity, with particularly strong performances in Europe, Middle East and Africa (EMEA) and North America.

Overall, this quarter’s results point to sustained momentum in M&A activity through the end of 2014, building on the strong levels of M&A activity seen in the last year. Based on the results of the Intralinks DFI so far this year and its strong correlation to the volume of future announced deals, Intralinks is predicting that global announced M&A volumes for 2014 as a whole will, for the first time since 2010, show an annual increase of between six and 10 per cent compared to 2013.

Deal activity levels in the APAC region however remain volatile, down 15 per cent YoY and QoQ. While Japan is quite strong, China, one of the largest investors in the region, continues its economic realignment which is decelerating overseas acquisitions, and is having a notable affect in Australia and beyond.

“A good lending environment with high quality assets and companies for sale are driving this growth. Deal volume continues to go up and we expect to see a good number of high profile deal announcements through the end of 2014, especially in sectors like manufacturing and telecommunications, media and entertainment,” said Mr. Porzio.

Intralinks DFI Highlights — Outlook for Q4 2014
The Intralinks DFI tracks global M&A sell-side mandates and deals reaching due diligence prior to public announcement, providing a predictor of future global M&A activity levels. The Intralinks DFI is based on Intralinks’ insight into a significant percentage of early-stage M&A transactions. Independent researchshows that the Intralinks DFI is a reliable predictor of future changes in the number of announced M&A transactions, with percentage changes in the Intralinks DFI typically being reflected in announced deal volumes approximately six months later. Highlights from the latest Intralinks DFI include:

North America
The level of North American early-stage M&A activity grew 17 percent YoY, sustaining the momentum in this market from 2013. Deal volume was up 22 percent QoQ, reflecting some seasonal variation, and the fact that some companies worked to complete deals while interest rates remain low and confidence in an economic recovery in the United States continues to increase.

EMEA
Europe continues to perform very strongly and consistently, with a 17 percent YoY increase, paired with a 17 percent increase QoQ. Even countries that were written off recently as poor environments for investments, such as Spain, Portugal and France, are making a comeback. Germany continues to be especially strong and is seen as a safe haven for investments. For the last four quarters EMEA has shown strong performance, and we anticipate this will continue through 2014.

Latin America
Latin America remains weaker than North America and EMEA, but is poised for growth. Although early stage M&A activity was down seven percent YoY, there was a healthy increase of 20 per cent QoQ. This surge was led by Brazil, which alone saw a 26 per cent increase QoQ, which we expect will be reflected in deal announcements later this year. Contrary to these findings, however, Intralinks’ Global Sentiment Survey showed that dealmakers in Latin America continue to express reduced optimism about prospects for the region, including for Brazil, for the remainder of 2014.

Newly-Published 8-Year Follow-Up Study Confirms the Safety, Efficacy, and Durability of Stretta in GERD Treatment

leave a comment »

NORWALK, Conn. /PRNewswire/ — A newly published peer-reviewed study that examines Stretta®therapy, further confirms the long-term effectiveness of this non-surgical treatment for gastroesophageal reflux disease (GERD). The 8-year study published in Gastroenterology Research and Practice, entitled “Durability of Stretta Radiofrequency Treatment for GERD: Results of 8-Year Follow-Up” corroborates the findings of another recently published long-term study on Stretta with 10-year follow-up.

http://photos.prnewswire.com/prnvar/20130211/NY56794

The new study, authored by Drs. Luca Dughera, Maria De Cento, Paola Cassolino, and Fabio Cissaro of City of Health and Sciences Hospital, Turin, Italy, and Gianluca Rotondano of Maresca Hospital, Naples, Italy, concludes that Stretta is a safe and effective treatment with lasting results in patients for whom PPI therapy provides unsatisfactory control of GERD symptoms, and those that prefer a less invasive treatment option than surgery.

“Of the many important findings in this study, one of the most significant is the complete absence of any Barrett’s esophagus or erosive esophagitis in the follow-up population at 8-years,” stated Dr. Dughera. “These findings make clear that along with excellent symptom control, Stretta reduces patient dependence on medication while also reducing harmful effects of prolonged esophageal acid exposure, a principal cause of Barrett’s and esophagitis. In fact, in this study 76.9 percent of patients were still off their PPIs at 8-year follow-up,” said Dr. Dughera. “Stretta is a valuable non-surgical treatment option in the management of GERD,” he added.

Stretta uses low power and low temperature radiofrequency (RF) energy to remodel the lower esophageal sphincter muscle, thus reducing GERD and its symptoms.

“This 8-year follow-up study adds to a growing body of long-term data, which now includes 10-year, 8-year, and three 4-year studies, as well as 30 other studies of varied length follow up, making Stretta by far the most studied non-surgical treatment for GERD,” stated Will Rutan, CEO of Mederi Therapeutics, maker of Stretta. “The results in all of these long-term studies consistently show exceptional safety, effectiveness and durability of treatment,” Rutan continued. In February of 2013, Stretta earned The Society of American Gastrointestinal and Endoscopic Surgeons (SAGES) strongest GRADE recommendation in their Clinical Guideline on Endoluminal GERD treatments.

Stretta will be featured in live case demonstrations at the upcoming Endolive Roma in Rome, Italy on May 22-23,www.endoliveroma.it, and at the GEEW in Brussels, Belgium on June 23-25, www.live-endoscopy.com.

Research Yields New Insights Into Bacteria Associated With Oral Health in Dogs

leave a comment »

LONDON /PRNewswire/ —

Landmark studies discover critical differences between dog and human plaque and explain why dogs are more prone to gum disease than tooth decay

Results from two landmark studies that shed light on the bacteria associated with oral health in dogs were presented to the British Veterinary Dental Association (BVDA) in London, UK this month. The studies, conducted by the WALTHAM® Centre for Pet Nutrition in conjunction with Professor Floyd Dewhirst from the renowned Forsyth Institute in BostonUSA, help to explain why tooth decay is rare in dogs, despite being prevalent in humans. The findings challenge the current practice of translating knowledge of human dental disease to dogs and will help to facilitate important discussions between veterinarians and pet owners about proper pet oral hygiene.

(Logo: http://photos.prnewswire.com/prnh/20140507/685651 )

“Periodontal disease is one of the most widespread conditions in dogs, and this research represents an important step towards understanding how the disease develops,” said Dr. Stephen Harris, Oral Health Research Manager at WALTHAM®, part of Mars Petcare, who presented the findings.

For the first time, researchers were able to landscape the vast majority of bacterial species in dog plaque, discovering that most were previously undocumented. The scale of the studies enabled researchers to thoroughly characterize the dog bacteria, make comparisons to similar studies on human bacteria and determine which bacteria are the most prevalent in health and periodontal, or gum, disease. The findings show that dogs lack the bacteria that cause dental caries, or tooth decay, and that contrary to popular belief, the bacteria associated with periodontal disease are not the same in dogs and humans. While there are a few similarities, there are also many differences. These comparisons will help in determining which species of bacteria are critical for the development of periodontal disease in dogs and possibly even humans.

“These insights emphasize the need for dog oral care products to be designed and tested using robust science in dogs, rather than relying solely on data from human studies,” explained Dr. Harris. “It is important that pet owners help maintain their dogs’ optimal health with regular veterinary check-ups and oral hygiene products, such as dental chews that meet these criteria. Veterinarians have an important role to play in helping to inform pet owners about good practices and recommending beneficial pet products to maintain proper dog oral hygiene.”

Notes to the Editor:

WALTHAM® conducted two studies on the landscape of bacteria in dog plaque and presented the findings to the British Veterinary Dental Association on April 2, 2014:

The Canine Oral Microbiome: In an initial study, 51 dogs representing 25 breeds and ranging from three to eight years of age were recruited from within the UK. It provided an index and family tree comprehensively mapping the bacterial species in dog plaque. Of the 353 bacterial types found, 80 percent were previously undocumented and only 16.4 percent were shared between humans and dogs.

For reference information and to view the study findings published in PLoS ONE, please click here.

A Cross-Sectional Survey of Bacterial Species in Plaque: In a second study, subgingival plaque samples were collected from 223 dogs with healthy gingiva, gingivitis and mild periodontitis. Of the 274 different bacterial species identified in these there were no cariogenic Streptococcus spp., the bacteria that can cause caries. There were some similarities between the bacteria species in healthy and disease associated plaque for humans and dogs but also major differences.

Starship Reveal First Glimpse of Pioneering IPs in Cookery, Games and Lifestyle Sectors

leave a comment »

LONDON /PRNewswire/ – Starship, the Liverpool-based digital entertainment company, today unveil the breadth of their cross-genre portfolio with details of three new IPs, including world firsts in the gaming and lifestyle sectors.

To view the Multimedia News Release, please click: http://www.multivu.com/mnr/71400537-starship-reveal-a-glimpse-of-world-first-IPs.

The studio, helmed by Evolution Studios founder and MotorStorm creator Martin Kenwright, today disclose top line details of a trio of pioneering products. Home to a dream team of world-class talent brought together by Kenwright and his vision, Starship are developing original content in the e-health, children’s gaming and lifestyle sectors. The studio has been purpose built to challenge and disrupt existing thinking, and ways of delivering digital and consumer experiences with everyday use and value.

The first product, CyberCook, aims to unite the entire cooking sector with the first truly interactive cookery platform. Featuring the world’s first hyper-realistic and time sensitive cooking simulation, CyberCook is a next-gen eco-system for cookery.

There has been no major step change in the evolution of consumer cooking experiences in over 20 years, saysKenwrightThe 19th century had cookery books, 20th century had TV, analogue media and live shows. Direct to consumer has come of age, with mass technology ownership allowing us to move beyond existing channels into a brave new world called CyberCook. Its an experience second only to real cooking, a genuine game-changing platform with infinite opportunities for collaboration, partnerships and social media.

Details are also revealed for children’s adventure series, Playworld, which Kenwright outlines as “the ultimate in create and play“. Designed from the ground up for ages five +, Playworld is a console quality game designed for children on next generation mobile devices. “Were out to empower kids creativity, he explains. Playworld offers children the ultimate craft creation tool, but its the amazing surprise inside that really sets it apart. Kids will love it, but parents will love it even more.

First versions of CyberCook and Playworld are set for a Q4, 2014 release on smartphones and tablets.

Further details are unveiled for e-health and lifestyle product Forget-Me-Not, a memory aid with multiple patents pending, which Kenwright describes as a “wearable second brain”.

In five years, I fully expect memory aids to be as ubiquitous as hearing aids, says Kenwright. Were now in a position where were waiting for the hardware to catch up with what weve created. We need the use of low-energy chipsets in the wearables sector to increase massively before the true power of Forget-Me-Not can be fully realised.

While the IP announcements seem to veer away from Kenwright‘s genre-defining driving and flight sim heritage, the Starship CEO says VR is very much a part of the studio’s future plans. “Weve been flirting with VR for more than 20 years, he explains, make no mistake, that expertise will be put to good use. Were thinking about returning to our roots with a wicked twist. Original, made-for-VR propositions are on the way. Its truly a case of watch this space.

Starship gives us the opportunity to take chances that an established company could not,” says Starship COOClemens Wangerin. “Our first three IP announcements will go some way to explaining how broad our horizons are and how far were reaching with our original contentWere out to develop the killer product for all next generation hardware. Were all extremely proud of Starships amazing debut, and incredible efforts of the team.

“We’ve had an overwhelmingly positive response to the IPs we’re developing from all corners of the industry; platform holders, device manufacturers and the press. Now we’re looking to connect with key people in each of the sectors we’re targeting – cookery, children’s entertainment and wearables – to work closely with us as the IPs we’re launching grow and develop further.”

50 Chilean vineyards will be at Vinexpo 2014

leave a comment »

— The Chilean products are distinguished by their quality and flavor, influenced by the special geography of Chile

— The Chilean Pavilion will be in Hall 1, islands EF13, EG16, GH12, G5, H10, and H24 of the Hong Kong Convention & Exhibition Centre

HONG KONG /PRNewswire/ — Once again Chile will be present at Vinexpo Hong Kong 2014, the most important fair in Asia Pacific for the promotion of wines and spirits. The event, to be held between the 27thand 29th of May, will host 50 Chilean vineyards that will display some of their sophisticated products in order to consolidate their presence in the market.

Wine is one of the main ambassadors for Chilean products in the international markets. This product represents all of the attributes of Chilean exports: quality, safety, reliability and geographical diversity, among others. It is not surprising that every day 16.9 million people worldwide drink a glass of Chilean wine.

In 2013, Chile exported $1,870 million dollars’ worth of wine to the world, equivalent to about 879 million liters. The principal destinations for bottled Chilean wine are the United States, United Kingdom and Japan. Chile also exported $13.7 million to Hong Kong, an equivalent of 385,586 liters.

“Hong Kong represents important opportunities for Chilean entrepreneurs. It is a mature market, where the consumers value the good quality and prices of the products. The Hong Kong consumer is looking for new strains, new valleys when choosing their wine, and Chilean products are capable of satisfying their demands”, says Helen Albano, Wine Product Manager of ProChile.

Wines of Chile, a group that brings together the vast majority of the Chilean wine industry, has proposed to position Chile, in 2020, as the number one producer in the world of premium, sustainable and diverse wines, with increased exports to the U.S. of $ 3,000 million by that date.

“This exhibition represents the gateway to Asia, and Hong Kong – being a mixture of East and West and an ancient place of trade – is the perfect place to present Chilean wines. This year we have come with 50 vineyards with samples from the valleys from the north to the south, and the geographical zones of the Andes, and Between Cordilleras, so we hope to truly demonstrate our great flagship product, as it is and has always been”, Alvaro Arriagada, Wines of Chile.

Wines of Chile, along with members of the association, has formed a committee whose task has been to change the designation of the origin of Chilean wine to better illustrate the diversity of the country. Thus we find Costa (coast), Entre Cordilleras (between cordilleras) and Andes, the three new divisions that, along with the valleys throughout the country, complement the wine experience.

This change is a huge step forward for Chilean wine, and the 2020 plan to make Chile a world leader in the production of premium, diverse and sustainable wines, as well as adds to the complexity of domestic wines.

Costa: The extensive Chilean coast, and the Humboldt Current that has a cooling effect on the Pacific Ocean, define not only the quality and taste of Chilean sea products, but also the climate and soil quality where the grapes grow. The result is a base of mineral and salt compounds that give Chilean wines a new dimension.

The wines of the coastal area are prime examples of fruity wines, with delicious acidity and a lovely balance and elegance, which increase the appeal of drinking them. The Chilean Sauvignon Blanc is among the most prized in the world, and the supply is significant and attractive to global markets. In addition, varieties such as Chardonnay and Pinot Noir from the coast are very different from the wines produced in the inner regions of the country. This has also opened up an opportunity to produce wines that are from warmer climates, or those close to the Andes, such as Syrah, Cabernet Franc and Malbec, that, when produced in the coast, show distinctive characteristics of a cold climate.

Between Cordilleras: This is the section of land running between the Andes and the mountain range of the coast. Its Mediterranean climate and silt-filled soils make this the best agriculture area in the country and, therefore, the birthplace of the national identity.

Although much of this area consists of plains that become progressively wider towards the south, the central valleys are far from flat. Transversal mountains and rivers cross from east to west, forming micro landscapes that, in turn, form a rich and fascinating mosaic of terroirs. It is precisely this area that is the origin of some of the most renowned wines – the majority reds.

The valleys of Limari, Aconcagua, Maipo, Colchagua and Cachapoal with their Carmenere, Syrah, Merlot and Carignan, among others, are part of this geographic area.

Andes: The Andes Mountains are part of the culture of Chile, and cross the entire territory. The influence of the Andes on the climate is enormous. In the extreme north, its height and width, in conjunction with the Humboldt Current, prevents the formation and free movement of clouds, which otherwise would cause significant rainfall. In fact, this is one of the primary conditions forming the Atacama Desert, the driest in the world. Besides affecting the climate, the large size and height of the Andes, which is reduced as we go south, also creates a barrier that prevents the existence of pests and diseases such as Phylloxera, which has destroyed vineyards in other parts of the world. Chile is a country free of Phylloxera, which has allowed it to develop Carmenere, a unique grape that has become one of the most produced varieties in the country.

In the Andes, in the early hours of the morning, masses of cold air form at high altitudes, and then descend to the valleys during the day. This allows the vines that are planted at the foot of the hills to maintain good ventilation and temperature control, as well as be protected from frost. The oscillating temperature between day and night defines the character of Chilean wines, giving rise to its flagship variety: Cabernet Sauvignon.

Simbionix’s Innovative Solution for Patient Specific Simulation Receives Further Global Recognition

leave a comment »

CLEVELAND /PRNewswire/ — Medical simulation technology provides an excellent approach to training physicians, nurses and allied health personnel. However, medical simulation development and utilization does not have to stop with training. SimbionixUSA Corporation advances the concept of using its proprietary technologies and capabilities to turn the simulation experience into an essential part of pre-operative surgery planning.

The company’s revolutionary PROcedure Rehearsal Studio™ (PRS) <http://simbionix.com/clinical-rehearsal/> steps up simulation by enabling physicians to rehearse a complete endovascular procedure on a virtual 3D anatomical model based on a specific patient’s CT data. The virtual model can be used for simulating, analyzing and evaluating pre-operative surgical treatment options prior to performing an actual case, which may increase a physician’s confidence in the upcoming procedure.

The advantages of patient specific planning have long been recognized in other fields within the healthcare industry, such as medical imaging. Simbionix is pleased to announce the signing of a collaboration agreement with the market leader in medical image analysis software,Pie Medical Imaging BV <http://www.piemedicalimaging.com/>. The company manufactures and distributes the 3mensio software, a clinical application that enables the visualization and analysis of patient CT scans in both 2D and 3D modes.

The collaboration will enable exporting the 3mensio Vascular™ model into the Simbionix simulation environment to form a comprehensive planning solution that combines 3DR, data analysis and simulation on the same platform. The solution will allow physicians and clinical specialists to rehearse a procedure in a complete virtual environment without the need for physical tools. This will take users of the 3mensio software to the next level of preparedness for endovascular procedures, as it will allow added simulation insights. Cases created by the software may also be imported to theANGIO Mentor simulator <http://simbionix.com/simulators/angio-mentor/> for full procedure practice <http://simbionix.com/simulators/angio-mentor/library-of-modules/> using fluoroscopy, guidewires, catheters, and other equipment that is used in the cath lab.

Simbionix recently received the CE marking of conformity for its patient specific simulation, an important step towards launching this innovative technology and expansion of its use in the clinical practice. The PRS CE mark demonstrates the product’s compliance with stringent requirements related to the quality, safety, and performance of medical devices determined by the European Union legislation.

In addition, Simbionix PRS has recently been granted a patent in China. The company now has patents for this technology in three key countries: theUSA <http://simbionix.com/2013/04/07/simbionix-revolutionary-patient-specific-simulation-procedure-rehersal-studio-receives-first-of-its-kind-us-patient/>,UK <http://simbionix.com/2011/08/10/patent-granted-for-simbionix-procedure-rehearsal-studio%E2%84%A2/> andChina. These patents represent recognition for Simbionix’s comprehensive line of products, which provide innovative solutions to advance medical performance and ensure patient safety.

Gary Zamler, Simbionix CEO added that “Growing interest from the image analysis market, which 3mensio is part of, demonstrates the need for more comprehensive planning solutions. The ability to evaluate surgical treatment options using simulation anytime, anywhere, is a major factor in achieving the goal to increase patient safety and improve procedure outcomes. The collaboration agreement, CE mark and additional patent are all examples of the company’s key position as a market leader and innovator in the field of medical simulation.”
